The following Terms and Conditions apply to your use of the Calorii mobile application, available on Google Play and the App Store, the Calorii website, and related services. By downloading, installing, accessing, or using the application or website, you agree to these Terms and Conditions and to our Privacy Policy.
In these Terms and Conditions, the words "platform," "application," and "service" refer to the Calorii mobile application, the Calorii website, and related features together. The words "we," "us," "our," "the company," and "Calorii" refer to Calorii LLC. The words "you" and "user" refer to you, the user of Calorii.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES AND FUNCTIONALITIES AVAILABLE ON THE PLATFORM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE CALORII.
By accessing and using the Calorii platform, you agree to be fully bound by the terms and conditions set forth in this agreement. If you do not agree to any of the terms, you must refrain from using the platform or its services.
We reserve the right to modify this agreement at any time when necessary for legal, operational, technical, commercial, or service-related reasons. Any modifications will be effective upon posting on the platform or otherwise notifying users as required by applicable law. By continuing to use Calorii following the posting or notification of a modification, you agree to be bound by the updated Terms. For this reason, we recommend that you review this agreement periodically to stay informed of any changes.
By using the platform, you represent and warrant that you have full legal capacity, power, and authority to enter into this agreement and to perform your obligations hereunder. You further confirm that you are not subject to any legal, contractual, or other restriction that limits or prevents your ability to accept these Terms and Conditions. You warrant that you will use the platform in accordance with applicable laws and regulations and that your use will not infringe any third-party rights or contravene any applicable regulations.
Your acceptance of this agreement constitutes a binding commitment by you and any entity you represent to adhere to the terms set forth herein and any additional policies posted on the platform. This commitment includes your obligation to ensure that all information provided during registration and use of the platform is truthful, accurate, complete, and up to date. Calorii will not be liable for any breach of these Terms by users, and any violation of these Terms may result in the suspension or termination of your access to the platform.
Registration, access, and use of the Calorii application, website, and associated features is strictly limited to persons 18 years of age or older. The platform is not intended for minors and does not allow registration or use of its services by persons under the age of 18.
By creating an account or using the platform, you represent and warrant that you are at least 18 years of age. Calorii reserves the right to suspend or cancel any account that it believes has been created or used by a person under the age of 18 or that has provided false information about their age.
Users must not upload, submit, or share images, progress photos, body photos, meal photos, avatars, or other content involving minors through the platform.
Calorii may send notifications and communications related to the use of the application, account management, service updates, reminders, subscription information, billing notices, security notices, privacy notices, legal updates, and other relevant notices via the email address provided by the user, messages within the application, and push notifications on the device.
By using the application, you agree to receive service-related communications that are an essential part of the service. You may manage your preferences and, in some cases, disable certain non-essential notifications through your device settings or the application itself. Disabling notifications may affect your ability to receive reminders, updates, or feature-related alerts.
To access certain features of Calorii, users must create a personal account by providing truthful, accurate, up-to-date, and complete information during the registration process. Users are responsible for maintaining the confidentiality of their login credentials, including their password or third-party login credentials, and agree to assume all responsibility for activities carried out from their account.
Users agree not to share their account with third parties or allow unauthorized access. Users must immediately notify Calorii of any misuse, unauthorized access, or suspected security breach related to their account.
Users may update or modify their account information at any time through the settings available within the application. Calorii reserves the right to suspend, restrict, or cancel accounts that contain false, incomplete, or misleading information, that violate these Terms and Conditions, or that are used in an abusive, fraudulent, unlawful, or contrary manner to the operation of the service.
The deletion of the account, whether requested by the user or carried out by Calorii, may result in the loss of access to personalized settings, history, saved content, photos, avatars, logs, plans, analytics, community features, subscription-related access, and associated features, without prejudice to any outstanding obligations arising from previous use of the platform.
Users may request deletion of their account through the account settings available within the application or by contacting Calorii through the support channels identified in these Terms or the Privacy Policy.
Account deletion may permanently delete or anonymize personal data associated with the account, including profile information, saved meal photos, saved progress photos, before-and-after photos, avatar source images, AI-generated avatars, meal logs, nutrition logs, workout logs, activity history, body analysis outputs, AI interaction history stored by Calorii, favorite meals, saved content, and other account-related information, subject to limited retention where required or permitted by law.
Calorii may retain limited records where necessary for legal compliance, billing, tax, accounting, fraud prevention, security, dispute resolution, enforcement of these Terms, backup restoration, or other legitimate operational purposes permitted by applicable law.
Deleting a Calorii account does not automatically cancel an active subscription purchased through the Apple App Store, Google Play, or another third-party payment provider. Users are responsible for cancelling active subscriptions through the applicable app store or payment provider account settings.
Calorii offers a free version of the app that allows users to access basic features of the service. Calorii may also offer premium subscriptions, paid features, promotional trials, limited-time offers, referral rewards, ambassador offers, or other paid or promotional access options. Premium features may include advanced tools related to meal planning, workout generation, artificial intelligence features, body analysis, progress tracking, meal recognition, or other functionality made available by Calorii.
When available, users may access a free trial of a premium subscription for the period shown at the time of purchase. At the end of the trial period, the subscription may automatically renew as a paid subscription unless the user cancels it before the end of the trial period through the applicable app store or payment provider account settings.
Subscriptions are purchased and managed through the corresponding app distribution platforms, specifically the Apple App Store and Google Play, using Apple In-App Purchases and Google Play In-App Purchases. Calorii may also use subscription management tools such as RevenueCat to verify and manage the status of in-app subscriptions. All payments, automatic renewals, billing, purchase confirmation, and subscription management are processed through the user's account on the applicable platform.
Premium subscriptions automatically renew on each billing date according to the plan selected by the user, unless automatic renewal is canceled before the start of the next billing period. Users can cancel their subscription at any time by accessing the subscriptions or billing section within their Apple App Store or Google Play account settings, as applicable. Cancellation prevents new charges from being made in the next billing cycle. The user may continue to use premium features until the end of the subscription period already paid for, unless otherwise stated by the applicable platform.
Refunds and payment disputes related to subscriptions purchased through the Apple App Store or Google Play are subject to the policies and procedures of those platforms. Any refund requests must be handled directly through the applicable provider, in accordance with its own rules and conditions. Calorii does not control app store refund decisions.
Calorii may change subscription prices, free trial availability, promotional offers, feature limits, or premium feature availability from time to time. Where required, users will receive notice through the applicable app store, within the application, by email, or through other legally required methods.
Calorii provides digital fitness, nutrition, wellness, tracking, and AI-assisted tools. Features may include calorie and macro tracking, meal logging, meal recognition, barcode scanning, recipe or food database search, personalized meal plans, workout plans, activity tracking, body analysis, progress tracking, saved photos, AI-generated avatars, community features, challenges, leaderboards, reminders, and an AI assistant.
The availability of features may vary based on the user's device, operating system, country, language, subscription status, app version, permissions, connected integrations, third-party provider availability, and Calorii's operational decisions.
Calorii may add, remove, modify, suspend, limit, or discontinue any feature at any time, including AI features, free features, premium features, trial features, community features, and integrations. Calorii does not guarantee that any specific feature will remain available permanently.
Calorii is a digital application designed to provide fitness, nutrition, wellness, and AI-assisted recommendations for informational, educational, and user support purposes only. Calorii does not provide medical advice, diagnosis, treatment, therapy, clinical care, professional nutrition counseling, or emergency services.
The content generated or displayed through Calorii, including exercise routines, meal plans, calorie estimates, macronutrient estimates, food recognition outputs, body analysis results, progress insights, AI-generated recommendations, activity calculations, and performance insights, does not replace the advice, diagnosis, or treatment provided by medical professionals, certified nutritionists, dietitians, trainers, therapists, or other qualified specialists.
Users are responsible for evaluating their own health, physical condition, limitations, allergies, dietary restrictions, medical conditions, medications, injuries, pregnancy status, and fitness level before relying on any recommendation from Calorii. Users should consult a qualified professional before making significant changes to diet, exercise, weight loss, training intensity, supplement use, or health-related routines, especially if they are pregnant, nursing, under medical care, underweight, have a history of eating disorders, have a chronic health condition, have allergies, have injuries, or experience pain or discomfort.
Calorii is not intended for emergencies. If a user experiences a medical emergency, severe pain, chest pain, difficulty breathing, fainting, allergic reaction, severe dizziness, or any other urgent health concern, the user should stop using the application and seek immediate medical assistance.
Calorii uses artificial intelligence technologies to offer certain features within the application, including meal planning, workout generation, body analysis, meal recognition, performance insights, progress insights, personalized recommendations, AI-generated avatars, and an artificial intelligence assistant that may act as a virtual personal trainer or wellness support tool.
These tools analyze information provided by users, as well as certain data related to their activity, nutrition, preferences, images, progress, and goals, in order to generate recommendations or outputs tailored to each profile. The operation of these features may involve processing information entered in the profile, fitness goals, activity logs, workout data, dietary habits, meal logs, meal photos, body or progress images, avatar source images, body analysis inputs, and content shared during interactions with the AI assistant.
AI-generated responses, analyses, plans, estimates, images, avatars, and recommendations are automated outputs and may be incomplete, inaccurate, delayed, outdated, or not applicable to an individual user's circumstances. Calorii does not guarantee the accuracy, completeness, reliability, safety, appropriateness, or suitability of any AI-generated output.
Users are responsible for reviewing AI-generated outputs before relying on them. Users should not rely on Calorii or any AI-generated output as the sole basis for decisions involving health, nutrition, training, injury prevention, medical conditions, allergies, pregnancy, mental health, eating behavior, or safety.
Calorii may use third-party AI providers, which may include OpenAI, Anthropic, Google Gemini, and other AI service providers, to support AI features. Use of these features is also governed by Calorii's Privacy Policy, which explains how data may be processed and shared with AI providers.
Calorii may allow users to upload, capture, create, save, store, view, analyze, export, or share visual content within their account. This may include meal photos, food images, progress photos, before-and-after images, body photos, workout-related images, profile images, avatar source images, AI-generated avatars, and other visual content submitted, created, or generated through the platform.
Users may save meal photos, saved meals, progress photos, body progress history, AI-generated avatars, body analysis outputs, and related visual content in their account so they can view prior entries, compare changes over time, track progress, personalize their experience, or use related app features.
By uploading or submitting visual content, users represent and warrant that they own or have the necessary rights and permissions to upload and use such content, that the content does not violate the rights of any third party, and that the content does not include images of minors, private images of another person, explicit sexual content, illegal content, or content uploaded without proper authorization.
AI body analysis, food recognition, visual progress tracking, and avatar creation are automated or semi-automated features that may rely on estimates. Body composition, symmetry, progress, food identification, portion size, calorie, macro, and avatar outputs may be inaccurate or incomplete. Users should treat these outputs as informational estimates only.
Calorii does not use uploaded photos, generated avatars, or visual analysis data to identify or verify a user's identity unless Calorii expressly discloses such a feature and obtains any consent required by applicable law.
Calorii may use food, nutrition, ingredient, barcode, and recipe databases, including third-party data providers, to support food search, barcode scanning, meal logging, recipe import, nutrition analysis, meal planning, and related features.
Nutrition information, food database entries, barcode results, ingredient data, serving sizes, recipe data, restaurant food data, and AI-generated food estimates may be incomplete, outdated, mislabeled, unavailable, or inaccurate. Users are responsible for reviewing labels, ingredients, allergen warnings, serving sizes, and nutritional information before relying on any output.
Calorii does not guarantee that food recommendations, meal plans, barcode results, recipe outputs, or nutrition estimates will be safe or appropriate for every user, including users with allergies, intolerances, medical conditions, pregnancy-related needs, dietary restrictions, religious dietary practices, or clinical nutrition requirements.
Calorii may integrate with third-party health and fitness platforms, devices, and wearable services, such as Apple Health, HealthKit, Google Fit, Google Health Connect, and similar services, where available and authorized by the user.
These integrations may allow Calorii to receive or display data such as steps, activity, workouts, calories burned, distance, heart rate, sleep metrics, or other wellness-related data. The availability, accuracy, synchronization, and continuity of these integrations depend on third-party services, device permissions, operating system settings, and user configuration.
Calorii does not control third-party health platforms, wearable devices, app stores, or operating system services, and does not guarantee that data from such integrations will be complete, accurate, timely, or continuously available. Users are responsible for reviewing the terms and privacy practices of any third-party platform or device they connect to Calorii.
Calorii may offer community features within the app, such as activity challenges, leaderboards, rankings, shared workouts, shared meals, public profiles, community content, and other features that allow users to compare their progress with other participants.
By participating in these features, certain information may become visible to other users within the app, including username, avatar, ranking position, challenge score, streaks, activity-related metrics, steps, estimated calories, workouts, shared meal content, or other information selected or generated through the feature. Participation in these features is voluntary, and by participating in challenges, leaderboards, or community features, users authorize the publication and display of this data within the app community.
Users must participate honestly and must not manipulate data, falsify results, use external tools to alter metrics, create multiple accounts to gain an advantage, harass other users, post misleading content, or interfere with fair participation. Calorii reserves the right to review activity, moderate content, investigate complaints, remove inappropriate results or content, and suspend or ban accounts that violate these rules.
Although Calorii may remove content when necessary, it cannot guarantee the removal of copies that have been saved, copied, screenshotted, exported, or shared by other users.
Calorii may allow users to create, upload, save, share, export, or transmit content within the platform, including profile information, images, meal photos, progress photos, before-and-after photos, AI-generated avatars, activity logs, workout data, nutrition logs, meal plans, messages sent through the AI assistant, comments, feedback, shared workouts, shared meal plans, and other interactions within the application. Users retain ownership and property rights over the content they provide or generate within the platform.
By uploading, posting, saving, generating, or sharing content within Calorii, the user grants Calorii a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, process, modify, adapt, display, distribute, and use such content to the extent necessary to operate, maintain, secure, troubleshoot, personalize, improve, and provide the services offered by the app.
This license allows Calorii to process the content within its systems, use it for the operation of platform functionalities, display it within the service environment when necessary, generate AI outputs requested by the user, and support related features such as meal recognition, progress tracking, body analysis, avatar creation, saved history, sharing features, community features, and account management.
Calorii will not intentionally use private meal photos, private progress photos, private body photos, avatar source images, detailed health data, or AI body analysis outputs in public marketing materials without the user's separate permission. Content that a user voluntarily shares publicly or through community, ambassador, referral, promotional, or social sharing features may be displayed according to the settings and functionality of those features.
Users agree not to post, upload, save, generate, transmit, or share content that violates the platform's rules or the rights of third parties. In particular, it is prohibited to post or transmit content that:
· Is illegal, fraudulent, deceptive, or violates any applicable law or regulation.
· Contains confidential, sensitive, or private information of third parties without proper authorization.
· Infringes intellectual property rights, image rights, privacy rights, publicity rights, or other rights of third parties.
· Contains images of minors, explicit sexual content, non-consensual images, or images of another person without proper authorization.
· Is offensive, abusive, defamatory, threatening, discriminatory, harassing, harmful, or unsafe.
· Contains malicious software, harmful code, spam, or any material intended to interfere with the operation of the platform.
· Seeks to manipulate data, alter activity metrics, deceive other users, or exploit the application's features.
Calorii may allow users to save, download, export, or share certain content created, uploaded, or generated through the platform. This may include meal logs, meal photos, progress photos, before-and-after images, body analysis results, AI-generated avatars, workout summaries, nutrition summaries, achievement cards, challenge results, referral content, and other user-generated or AI-generated content.
When users choose to save or export content, that content may be stored on the user's device, photo library, cloud backup service, or other storage location selected by the user. Calorii is not responsible for the privacy, security, or continued availability of content once it has been saved outside the Calorii platform.
When users choose to share content to social media platforms, messaging apps, or other third-party services, the shared content may become visible to other people depending on the user's privacy settings on those services. Information shared outside Calorii is subject to the terms, privacy policies, and data practices of the third-party platform or service where the content is shared.
Users are responsible for reviewing any content before saving, exporting, or sharing it, especially where the content includes personal information, health-related information, body images, meal details, fitness progress, AI-generated analysis, or other sensitive information. Deleting content from Calorii may not delete copies that were previously saved, downloaded, exported, posted, shared to social media, sent to other users, screenshotted, or stored by third-party platforms.
Users agree to use the Calorii application, website, and all features responsibly, legally, honestly, and in accordance with these Terms and Conditions. Use of the platform must be carried out with respect for the rights of other users, the proper functioning of the service, and the rules established by Calorii to maintain a safe, fair, and reliable environment for all participants.
Users agree not to engage in, attempt to engage in, or facilitate any prohibited behavior within the platform, including harassment, fraud, impersonation, unauthorized access, manipulation of data, abuse of AI features, misuse of community features, scraping, reverse engineering, or any activity that harms Calorii, other users, third-party providers, or the operation of the platform.
Calorii reserves the right, at its sole discretion, to monitor use of the platform and to take measures it deems necessary when it detects conduct that violates these Terms or that may harm other users or the operation of the service. These measures may include removal of content, temporary limitation or suspension of access to certain features, permanent cancellation of the user's account, or other appropriate action.
The following activities are prohibited:
· Posting, transmitting, or sharing content that involves harassment, intimidation, threats, discrimination, hate speech, exploitation, or abuse toward other users or third parties.
· Impersonating another person, entity, or user, or providing false or misleading information in order to appear to be someone else.
· Distributing, introducing, or transmitting malicious software, viruses, malware, harmful code, spam, or any material intended to disrupt, damage, or compromise the operation of the platform or other users' devices.
· Attempting to perform security probes, scans, vulnerability tests, or any attempt to gain unauthorized access to the platform's systems, data, infrastructure, accounts, APIs, or third-party integrations.
· Circumventing, avoiding, or attempting to avoid payment mechanisms, subscriptions, feature limits, trials, paywalls, or access restrictions implemented by the platform.
· Sharing access credentials, allowing third parties to use a personal account, or accessing another user's account without authorization.
· Performing reverse engineering, decompilation, code extraction, unauthorized reproduction, resale, sublicensing, commercial exploitation, or unauthorized copying of the application or its functionalities.
· Using bots, automated scripts, scraping systems, data mining tools, or other automated tools to interact with the platform in a way that interferes with its normal operation or generates undue advantages within the service.
· Manipulating data, activity metrics, statistics, challenge scores, body analysis inputs, meal recognition inputs, AI prompts, or any functionality of the service for the purpose of obtaining unfair benefits or altering the normal operation of the platform.
· Uploading images or content involving minors, non-consensual images, explicit sexual content, illegal content, or content that violates the rights of third parties.
· Using the platform to generate or request unlawful, unsafe, harmful, abusive, deceptive, or infringing content through AI features.
Calorii may run advertising campaigns through platforms such as Meta, Facebook, Instagram, TikTok, Google Ads, and similar advertising services. Calorii may also use pixels, SDKs, conversion APIs, advertising identifiers, device identifiers, campaign tracking tools, referral parameters, and similar technologies to measure ad performance, attribute app installs, track conversion events, measure trial starts, measure subscriptions or purchases, optimize campaigns, and support retargeting or similar advertising where permitted by law.
Use of advertising, tracking, attribution, retargeting, and similar technologies is governed by the Privacy Policy and any consent or device-level permissions required by applicable law or platform rules. Users may have the ability to manage certain advertising or tracking preferences through the application, device settings, operating system controls, app store settings, or other available privacy controls.
Calorii does not intentionally use private body photos, meal photos, progress photos, HealthKit data, Google Health Connect data, detailed nutrition logs, detailed workout data, or AI body analysis outputs for targeted advertising or retargeting. Users should review the Privacy Policy for additional details about advertising, attribution, and tracking practices.
Calorii may offer referral programs, affiliate programs, ambassador campaigns, promotional codes, discounts, limited-time offers, challenges, rewards, or other promotional initiatives. Participation in these programs may be subject to additional rules, eligibility requirements, payout terms, deadlines, fraud prevention checks, and program-specific conditions.
Users, affiliates, influencers, ambassadors, or partners participating in promotional programs must provide accurate information, comply with applicable laws and advertising disclosure rules, and must not engage in fraud, self-referrals, misleading promotions, spam, unauthorized use of Calorii branding, fake accounts, payment abuse, or activity designed to manipulate rewards or performance metrics.
Calorii reserves the right to modify, suspend, terminate, withhold, reverse, or deny promotional rewards, discounts, affiliate commissions, ambassador payouts, or other incentives where Calorii reasonably believes the program has been misused, abused, manipulated, or violated.
Calorii grants the user a personal, worldwide, royalty-free, non-transferable, non-sublicensable, non-exclusive, revocable license to download, access, and use the Calorii mobile application and website for personal, non-commercial use in accordance with these Terms and Conditions.
This license includes access to modified versions, updates, upgrades, enhancements, extensions, add-ons, and copies of the app, if available. The exclusive purpose of this license is to allow the user to access and use the functionalities offered by the platform in accordance with these Terms.
The user agrees to use the platform diligently, lawfully, and in full compliance with applicable regulations, refraining from any activity that is negligent, fraudulent, harmful, or in any way compromises the integrity of Calorii, its services, or the experience of other users.
Calorii reserves the right, at its sole discretion, to suspend or terminate the user's access to the platform immediately and without liability to the user in the event that any breach of these Terms is detected. The user acknowledges that the license granted is revocable and that its continuity depends on full compliance with these Terms.
All rights, titles, and interests related to the Calorii application, website, software, source code, object code, architecture, design, interface, structure, logos, graphics, trade names, trademarks, audiovisual content, interactive elements, databases, texts, prompts, templates, sounds, workout structures, meal planning systems, AI workflows, and any other component incorporated into the application or website are the exclusive property of Calorii or their respective owners and are protected by applicable intellectual property and copyright laws.
Any reproduction, distribution, modification, adaptation, translation, publication, display, streaming, broadcasting, scraping, copying, resale, sublicensing, or exploitation, in whole or in part, of Calorii's protected elements without prior express written consent is prohibited. Use of the application does not grant the user any ownership rights, license, or authorization over protected rights, except those strictly necessary for legitimate use of the application in accordance with these Terms.
Users may not remove, obscure, or alter copyright, trademark, proprietary notices, watermarks, or branding displayed within the platform. Calorii reserves all rights not expressly granted in this document.
Calorii respects intellectual property rights and expects users to do the same. Users may not upload, post, share, transmit, or make available any content that infringes copyrights, trademarks, publicity rights, privacy rights, or other rights of any person or entity.
If a copyright owner or authorized agent believes that content available through Calorii infringes a copyright, they may submit a written notice under the Digital Millennium Copyright Act ("DMCA") to Calorii's designated copyright agent. A DMCA notice should include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the allegedly infringing material and information reasonably sufficient to permit Calorii to locate the material; (d) the complaining party's contact information; (e) a statement that the complaining party has a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notice is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner.

Calorii may update its designated copyright agent information by posting revised contact details on the platform or website and updating the applicable registration when required.
If Calorii receives a valid DMCA notice, Calorii may remove or disable access to the allegedly infringing content and may notify the user who provided the content. Users who believe their content was removed or disabled by mistake may submit a counter-notification as permitted by the DMCA. Calorii may restore content when permitted by law and the DMCA process.
Calorii may terminate or restrict accounts of users who repeatedly infringe intellectual property rights or repeatedly violate these Terms.
Calorii can be integrated with various third-party services and technologies to offer certain features within the application, including app stores, payment systems, subscription management tools, health and fitness platforms, wearable devices, food databases, barcode databases, recipe databases, artificial intelligence providers, cloud hosting providers, analytics providers, advertising platforms, attribution providers, customer support tools, social media platforms, and external sharing tools.
These integrations may enable functions such as subscription processing, purchase verification, activity tracking, health data synchronization, food search, barcode scanning, nutrition analysis, AI recommendations, meal recognition, body analysis, avatar generation, advertising attribution, conversion tracking, customer support, or social sharing.
The use of these integrations depends on services provided by third parties that operate independently of Calorii. Calorii does not control or guarantee the availability, accuracy, operation, security, policies, or continuity of such external services. The use of these integrations may be subject to the terms, conditions, and privacy policies of the respective providers, and users are responsible for reviewing and accepting such terms when using these features.
Calorii may release updates, bug fixes, improvements, experimental features, beta features, AI model changes, design changes, feature limits, and other modifications to the platform at any time. Some features may be limited, experimental, region-specific, subscription-based, or subject to usage limits.
Beta, experimental, or AI-based features may be unstable, incomplete, inaccurate, or changed without notice. Calorii may modify, pause, limit, or discontinue any feature, integration, subscription benefit, content, database, AI tool, community feature, or service component at any time.
Calorii shall not be liable for temporary interruptions, technical failures, system errors, connectivity issues, device incompatibilities, scheduled maintenance, failures of third-party providers, app stores, payment services, cloud services, AI providers, advertising providers, or circumstances beyond its reasonable control that affect the availability or operation of the service.
Calorii is provided to the user "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Calorii expressly disclaims any warranty relating to the operation of the application, including implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, accuracy, reliability, continuous availability, absence of errors, security, non-infringement, or uninterrupted service.
Calorii does not guarantee that the application, its features, content, personalized plans, meal recommendations, workout recommendations, calorie estimates, macronutrient estimates, food recognition outputs, barcode results, body analysis outputs, AI-generated avatars, AI recommendations, or results obtained through use of the platform will meet the user's expectations or produce specific physical, nutritional, wellness, or performance results.
Calorii also does not guarantee the absolute accuracy, timeliness, completeness, safety, or suitability of content generated automatically by artificial intelligence, third-party databases, external providers, or user-generated content. The user agrees that any decision related to health, nutrition, physical activity, lifestyle, sharing, or use of the platform is made at their own risk.
No information, recommendation, or communication provided by Calorii, whether within the application, on the website, through AI features, through user support, or through marketing materials, shall constitute an express warranty unless formally stated in writing by Calorii.
To the fullest extent permitted by applicable law, Calorii, its owners, officers, directors, developers, affiliates, employees, contractors, collaborators, licensors, and technology providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to use of or inability to use the application.
This limitation includes damages or losses arising from physical injury, illness, allergic reactions, nutrition decisions, training decisions, weight loss decisions, body analysis outputs, AI recommendations, inaccurate calorie or macro estimates, incorrect food recognition, inaccurate barcode or database information, user-generated content, saved or shared content, social media sharing, data loss, service interruptions, device issues, payment issues, subscription disputes, third-party services, unauthorized access, or decisions made based on recommendations generated by the application.
The user acknowledges that physical activity and changes in eating habits involve inherent risks, including injury, physical discomfort, adverse effects, or unexpected outcomes, and agrees to use the application in accordance with their own physical condition, personal limitations, and state of health. Calorii does not physically supervise users or control the actual performance of exercises, food consumption, or compliance with recommendations.
To the maximum extent permitted by applicable law, Calorii's total cumulative liability for any claim arising out of or relating to the platform shall be limited as follows: for users who access only the free version of Calorii, Calorii's total cumulative liability shall not exceed fifty U.S. dollars ($50); and for users who purchase a paid subscription or paid feature, Calorii's total cumulative liability shall not exceed the greater of fifty U.S. dollars ($50) or the amount actually paid by the user to Calorii through the applicable app store or payment provider during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in this section shall limit liabilities that cannot be excluded or limited under applicable law. Continued use of Calorii constitutes acceptance of the limitations of liability described herein.
You agree to defend, indemnify, and hold harmless Calorii, its owners, directors, officers, employees, contractors, affiliates, licensors, service providers, and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties, liabilities, costs, or expenses of any kind or nature, including reasonable legal and accounting fees, brought by third parties as a result of:
· Your breach of these Terms or any documents referenced herein.
· Your violation of any law, regulation, or the rights of a third party.
· Your use or misuse of the platform.
· Your user content, uploaded photos, shared content, social media posts, or community activity.
· Your reliance on AI-generated outputs, workout plans, meal plans, nutrition estimates, body analysis, or other recommendations.
· Your participation in referrals, affiliate programs, ambassador programs, challenges, leaderboards, or community features.
· Your unauthorized use of another person's content, image, data, or account.
Both the user and Calorii acknowledge that failure to comply with these Terms and Conditions may result in termination of the agreement between both parties.
If the user fails to comply with any of the terms set forth in these Terms and Conditions, Calorii reserves the right to unilaterally terminate, suspend, restrict, or limit the user's access to and use of the platform. Calorii may take this action with or without prior notice depending on the nature and severity of the breach. The user may automatically lose all rights to access and use the platform, and Calorii shall not be liable for any loss of data or information associated with the user's account, except where applicable law provides otherwise.
If Calorii fails to comply with its obligations under the agreed Terms and Conditions, the user may terminate the agreement and stop using the platform. The user may notify Calorii in writing of the alleged breach and allow a reasonable time for Calorii to remedy the situation where applicable.
Termination of the agreement shall not release either party from any obligations and liabilities that have arisen prior to the date of termination.
Any personal information submitted in connection with use of the platform will be handled in accordance with Calorii's Privacy Policy. The Privacy Policy explains what personal data Calorii collects, how it is used, how it may be shared, how long it may be retained, user privacy rights, advertising and attribution practices, AI provider processing, health data practices, image and avatar processing, and account deletion practices.
Users should review the Privacy Policy carefully before using the platform, uploading photos, using AI features, connecting health platforms, participating in community features, subscribing, sharing content, or allowing advertising and attribution technologies.
Calorii reserves the right to modify, update, or replace, in whole or in part, these Terms and Conditions at any time when it deems necessary for legal, technical, operational, or commercial reasons. Any modification may be notified to users via email, in-app notice, website notice, app store update notes, or other appropriate means, unless applicable law requires a different means or procedure.
The modified versions of the Terms and Conditions will be applicable from the moment they are published on the platform or otherwise become effective as stated in the notice. Continued use of the platform by the user after notification and publication of the modifications will imply full and binding acceptance of the updated Terms and Conditions.
If the user does not agree with the modifications made, they must cease using the platform and, where applicable, delete their account and cancel any active subscription through the applicable app store or payment provider.
This agreement, together with the Privacy Policy and any other legal notices, rules, guidelines, or policies published by Calorii, constitutes the entire agreement between you and Calorii concerning and governing your use of the platform.
If there is a conflict between these Terms and additional feature-specific rules, promotional rules, community rules, ambassador rules, or app store terms, the additional rules may apply to the specific feature or program to the extent of the conflict.
Calorii shall not be liable for any failure to perform due to causes beyond its reasonable control, including fortuitous events, acts of civil authorities, acts of military authorities, riots, embargoes, labor disputes, pandemics, epidemics, natural disasters, internet failures, cloud provider outages, app store outages, payment provider failures, AI provider failures, third-party service disruptions, cyber incidents, or other events due to unforeseen circumstances.
Any dispute, claim, or controversy arising between a user and Calorii in connection with these Terms and Conditions, the use of the platform, or the services provided shall be resolved through the dispute resolution mechanisms described below, except where prohibited by applicable law or where mandatory consumer protection laws provide otherwise.
First, both parties agree to use their best efforts to resolve any dispute informally. Users may notify Calorii of a dispute by emailing support@calorii.com and describing the nature of the claim and the requested resolution. Calorii will make reasonable efforts to respond and resolve the dispute informally. Neither party may begin arbitration until thirty (30) days after the initial written notice of the dispute, unless a shorter period is required by applicable law.
After the informal resolution period, either party may request voluntary mediation before a neutral mediator selected by mutual agreement. If mediation is not requested, is declined, or does not result in a mutually satisfactory resolution, either party may proceed as described below. The costs of mediation shall be allocated as agreed by the parties or as required by applicable law.
Except for claims eligible for small claims court and requests for injunctive or equitable relief described below, any dispute that is not resolved informally or through mediation shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and Mediation Procedures then in effect. This arbitration provision is governed by the Federal Arbitration Act. The arbitration shall be conducted by a single neutral arbitrator. If the AAA is unavailable or declines to administer the arbitration, the parties shall select another nationally recognized arbitration provider that applies consumer-protective procedures substantially similar to the AAA Consumer Arbitration Rules.
Either party may bring an individual claim in a court of competent small claims jurisdiction if the claim qualifies for that court and remains on an individual basis. A consumer may bring a qualifying small claims action in the county where the consumer resides or in another location permitted by applicable law.
Unless applicable law requires otherwise, arbitration may be conducted through written submissions, by telephone, by videoconference, or through an in-person hearing. Any in-person hearing involving a consumer shall take place in the county where the consumer resides, in Hillsborough County, Florida, or at another location mutually agreed by the parties. The arbitration shall be conducted in English, unless applicable law requires another language or the parties agree otherwise.
Arbitration fees and costs shall be allocated in accordance with the AAA Consumer Arbitration Rules and the applicable consumer fee schedule. Calorii will pay the fees that the applicable rules require a business to pay. Each party will generally be responsible for its own attorneys' fees and expenses unless the arbitrator awards such fees under applicable law or the parties agree otherwise.
To the fullest extent permitted by applicable law, disputes must be brought and resolved only on an individual basis. Neither party may bring or participate in a class, collective, consolidated, coordinated, mass, or representative action or arbitration. This individual-action requirement does not limit any non-waivable right or remedy available under applicable law. This section does not prevent either party from seeking temporary, preliminary, or other injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property, prevent unauthorized access or misuse, address security threats or fraud, or prevent imminent and irreparable harm.
A user may opt out of this arbitration provision by sending an email to support@calorii.com within thirty (30) days after first accepting these Terms or receiving notice of this arbitration provision, whichever occurs later. The email must use the subject line "Arbitration Opt-Out" and include the user's full name, the email address associated with the Calorii account, and a clear statement that the user wishes to opt out of binding arbitration. A valid opt-out applies only to this arbitration provision and does not affect the remaining Terms. Users who do not submit a timely and valid opt-out agree to this arbitration provision.
Although the platform is available worldwide, these Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles, except where mandatory local consumer protection, privacy, or other applicable laws provide otherwise.
Any dispute relating to these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in the State of Florida, except where a dispute is subject to binding arbitration, is properly brought in small claims court, involves a user who validly opted out of arbitration, or applicable law requires another forum.
Nothing in these Terms is intended to limit any non-waivable rights that users may have under applicable consumer protection laws, privacy laws, app store rules, or other mandatory laws in their country or region of residence.
When Calorii is downloaded from or used through the Apple App Store or Google Play, the user may also be subject to the applicable app store terms, conditions, usage rules, subscription rules, refund procedures, and platform policies.
For users who download Calorii through the Apple App Store, these Terms are between the user and Calorii, not Apple. Apple is not responsible for the application or its content, and Apple has no obligation to provide maintenance or support services for the application, except as required by applicable law. To the extent required by Apple's applicable terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may have the right to enforce these Terms against the user as a third-party beneficiary.
Users must comply with all applicable third-party terms when using Calorii, including app store terms, payment provider terms, operating system terms, health platform terms, wearable device terms, social media platform terms, and advertising or tracking preference settings.
The termination or cancellation of the user's account, as well as the termination of access to or use of the Calorii platform for any reason, shall not affect the validity or applicability of provisions of these Terms and Conditions which, by their nature, should remain in force after such termination.
In particular, and without limitation, provisions relating to intellectual property, user content licenses, disclaimers, limitations of liability, indemnification, payment obligations, subscription obligations, dispute resolution, arbitration, applicable law, privacy-related obligations, and obligations arising from prior use of the service shall remain in force after termination or expiration of these Terms for as long as necessary to fulfill their purposes.
Use of the platform and purchase of any products or subscriptions is conditioned upon acceptance of and compliance with all of the terms and conditions set forth herein. This authorization to use the services does not extend to jurisdictions where these provisions are not respected or applied, except to the extent required by applicable law.
Calorii's commitment to compliance with these Terms is governed by applicable laws and legal process. These Terms do not restrict Calorii's ability to comply with legal or governmental requirements, including those relating to law enforcement, court orders, regulatory inquiries, app store compliance, privacy requests, or the use of the platform.
In the event that any provision of these Terms and Conditions is declared invalid, illegal, or unenforceable by any court or competent authority, such decision shall not affect the validity or enforceability of the remaining provisions. The failure or delay in enforcing any provision of these Terms and Conditions shall not constitute a waiver of Calorii's rights to enforce such provision or any other provision in the future.
Calorii reserves all rights not expressly granted herein, while maintaining the protection of and respect for its intellectual property rights and legal interests.
